Terms of Service

1. The Service

Mimly Pro provides tools for landscaping professionals to manage client projects, capture client design and material preferences, generate sourcing lists, route purchase orders to suppliers, and related functionality. We may add, change, or remove features over time.

2. Accounts

• You must provide accurate information when creating an account and keep it current.
• You are responsible for maintaining the security of your account and password and for all activity under your account.
• You must be at least 18 years old and able to form a binding contract to use the Service.
• You are responsible for the conduct of any client or participant you invite to a project.

3. Subscriptions and payment

• The Service is offered on a subscription basis. Pricing for each tier is presented at signup and may be updated with notice.
• Subscriptions are billed in advance on a recurring basis through our payment provider, Stripe, until cancelled.
• Unless stated otherwise, fees are non-refundable except where required by law.
• If a founder or promotional rate is offered and accepted, its terms are as stated at the time of the offer.
• You authorize us and our payment provider to charge your payment method for applicable fees.

4. Cancellation

You may cancel your subscription at any time through your account or by contacting us. Cancellation stops future billing; it does not entitle you to a refund of fees already paid for the current billing period, except where required by law. Upon cancellation, your access to paid features ends at the close of your current billing period.

5. Your content

• You retain ownership of the content you submit to the Service, including project information, photos, documents, and supplier data ("Your Content").
• You grant Mimly a limited license to host, store, process, and display Your Content as necessary to operate and provide the Service to you.
• You are responsible for Your Content and for ensuring you have the rights to submit it, including any client information or images.
• You must not submit content that is unlawful, infringing, or violates the rights of others.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the Service;
• Reverse engineer, copy, or resell the Service except as permitted by law;
• Use the Service to send spam or transmit malicious code.

We may suspend or terminate accounts that violate these Terms.

7. Third-party services

The Service relies on third-party providers, including Stripe for payments and our hosting and infrastructure providers. Your use of those services through Mimly may also be subject to their terms. We are not responsible for third-party services.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that sourcing lists, quantities, or purchase orders generated by the Service will be accurate or complete. You are responsible for reviewing and confirming all orders before they are placed.

9. Limitation of liability

To the fullest extent permitted by law, Mimly and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Mimly from any claims, damages, losses, or expenses arising out of your use of the Service, Your Content, or your violation of these Terms or the rights of any third party.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any conduct we reasonably believe is harmful to Mimly or other users. You may stop using the Service at any time.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes will be resolved in the courts located in Wyoming, unless otherwise required by law.
